Acceptance of terms
By accessing this website, submitting an inquiry, subscribing to our newsletter, or engaging Spiracle Digital for services, you accept these Terms & Conditions. If you do not agree, please do not use the site or the services.
Specific projects are governed by individually agreed proposals or statements of work. Where a signed proposal conflicts with these terms, the proposal prevails for that project.
02
Our services
We provide three core offers: conversion-focused websites, website + lead automation systems, and ongoing support plans. For agency partners we provide white-label web development on a capacity basis.
For CRM and automation you are not tied to specific vendors: we integrate established SaaS platforms or build a custom CRM and custom automation tailored to your website. The approach is recommended per project and confirmed in writing before work starts.
Our default delivery stack is WordPress. Where a project requires it, we also build on alternative stacks such as Next.js with PostgreSQL — the stack is recommended per project and confirmed in writing before work starts.
Services exclude anything not listed in the written scope. Ad spend, copywriting, premium plugin licenses, and third-party usage fees are the client's responsibility unless agreed otherwise.
03
Quotes, scoping & capacity
Prices published on this website are starting points, not fixed quotes. Every engagement begins with a written scope: deliverables, assumptions, exclusions, timeline, and price. Work outside the scope is quoted separately before it starts.
Capacity-based retainers define a fixed number of hours per month (for example, starting at 80 hours). Unused hours do not roll over unless agreed in writing. We do not offer unlimited-task arrangements, and we do not promise immediate availability; priorities are agreed through a single work queue.
04
Payments & billing
Projects are invoiced as defined in the proposal — typically an upfront deposit and milestone payments, with support plans billed monthly in advance. Invoices are due within the period stated on the invoice.
Late payments may pause active work and scheduled deliveries until the account is settled. Third-party costs (licenses, hosting, ad spend, usage fees) are billed at cost or paid directly by the client.
05
Client responsibilities
To keep projects on schedule, the client agrees to:
- Provide content, brand assets, and access credentials in good time
- Confirm they hold rights to all materials they supply
- Nominate a decision-maker and give consolidated feedback within agreed review windows
- Review and approve deliverables within the feedback periods stated in the proposal
Delays in inputs or approvals shift dependent deadlines accordingly.
06
Intellectual property
On full payment, the client owns the final delivered website, content, and custom code created specifically for the project. We retain ownership of pre-existing tools, internal frameworks, boilerplate, and know-how used to produce the deliverables, and may reuse them in other work.
We may reference the project in our portfolio unless the client asks in writing to keep the engagement confidential. Third-party components (themes, plugins, fonts, APIs) remain licensed under their own terms.
07
Confidentiality & white-label work
Both parties keep non-public business information confidential. For agency partnerships, we deliver work under the agency's brand, do not contact their clients directly, and sign NDAs on request.
08
Warranties & disclaimers
We warrant that services are performed with professional skill and care, and we fix defects in delivered scope at no charge during the support period stated in the proposal.
We do not guarantee revenue, leads, rankings, or appointments. We build reliable systems; results depend on the client's offer, pricing, and sales process. Any figures shown on this website are illustrative, not promises.
Except as stated above, services are provided "as is" without other warranties, express or implied.
09
Limitation of liability
To the maximum extent permitted by law, our total liability for any claim arising from the services is limited to the fees the client paid us for the service giving rise to the claim in the three months preceding it. We are not liable for indirect or consequential losses, lost profits, or lost data, except where such limitation is prohibited by law.
10
Termination & changes
Either party may terminate a support plan with written notice as defined in the proposal, usually 30 days. Projects may be terminated for material breach that remains uncured after written notice. On termination, work completed to date is invoiced, and paid deliverables are handed over.
We may update these terms; the current version and effective date are shown at the top of this page. Material changes to active engagements are communicated before they take effect.
11
Governing law & contact
These terms are governed by the laws of India, without regard to conflict-of-law rules. Courts located there have exclusive jurisdiction, unless mandatory consumer law provides otherwise.
